SMS Terms of Service

These SMS Terms of Service ("SMS Terms") govern your use of SMS messaging services provided by Nexus Vault, LLC ("Nexus Vault," "we," "us," or "our") as part of our AI-Driven Revenue Protection Suite, including Ghost Recovery and Ghost Retain.

Important: By using our SMS services or providing your phone number to receive SMS communications, you consent to receive automated text messages from Nexus Vault and our merchant clients. Message and data rates may apply.

1. SMS Program Description

Nexus Vault provides SMS messaging services to e-commerce merchants to communicate with their customers regarding abandoned checkouts, subscription management, and related customer service inquiries. Our SMS services include:

  • Abandoned cart recovery messages
  • Subscription cancellation prevention communications
  • Order status updates and customer service responses
  • Transactional and informational messages related to your purchases

2. Consent to Receive SMS Messages

2.1 Customer Consent

By providing your mobile phone number to a merchant using our Services, you expressly consent to receive automated SMS messages from that merchant via Nexus Vault's platform. Consent is not a condition of purchase, but may be required to use certain features or receive certain benefits.

2.2 Merchant Responsibility

Merchants using our Services are responsible for obtaining proper consent from their customers before enabling SMS communications. Merchants represent and warrant that they have obtained all necessary consents and comply with all applicable laws and regulations.

3. Message Frequency

The frequency of SMS messages will vary depending on your interactions with the merchant and the specific Services being used. You may receive:

  • Abandoned cart recovery messages: typically 1-3 messages per abandoned checkout
  • Subscription management messages: as needed based on your subscription activity
  • Customer service responses: as needed to address your inquiries

4. Message and Data Rates

Standard message and data rates may apply to SMS messages sent and received through our Services. These charges are determined by your mobile carrier and are your responsibility. Please contact your mobile carrier for information about your messaging plan and any applicable charges.

5. Opt-Out Instructions

You can opt out of receiving SMS messages at any time by:

  • Replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any SMS message
  • Following any opt-out instructions provided in the SMS message
  • Contacting the merchant directly to request removal from their SMS list

After you opt out, you will receive one final confirmation message. You will not receive further SMS messages unless you opt back in.

6. Help and Support

For help or support with SMS messages, you can:

  • Reply HELP to any SMS message to receive assistance
  • Contact the merchant directly using their customer service channels

7. Supported Carriers

Our SMS services are supported by major U.S. carriers, including but not limited to AT&T, T-Mobile, Verizon, Sprint, Boost, Cricket, MetroPCS, U.S. Cellular, Virgin Mobile, and others. Carrier support may vary, and we are not responsible for any carrier-related issues or delays.

8. Privacy and Data Protection

Your privacy is important to us. Information collected through our SMS services is subject to our Privacy Policy. We collect and use phone numbers and message interaction data to provide and improve our Services, and we do not sell or share this information with third parties for their marketing purposes.

9. Prohibited Uses

You agree not to use our SMS services to:

  • Send or encourage sending of spam, unsolicited messages, or illegal content
  • Harass, abuse, or harm others
  • Violate any applicable laws or regulations
  • Impersonate any person or entity
  • Interfere with or disrupt the Services

10. Service Availability and Modifications

We strive to provide reliable SMS services, but we do not guarantee that the Services will be available at all times or that messages will be delivered without delay. We reserve the right to modify, suspend, or discontinue the SMS services at any time without notice.

11. Disclaimer of Warranties

Our SMS services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that messages will be delivered in a timely manner.

12. Limitation of Liability

To the maximum extent permitted by law, Nexus Vault shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the SMS services.

13. Compliance with Laws

Our SMS services comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and other applicable federal and state laws and regulations. We require all merchants using our Services to comply with these laws and regulations.

14. Changes to These SMS Terms

We may update these SMS Terms from time to time. We will notify you of any material changes by posting the new SMS Terms on this page and updating the "Last Updated" date. Your continued use of the SMS services after such changes constitutes your acceptance of the new SMS Terms.
